By ordering or using the Service, you agree to these Terms.
2. Description of the Service
We provide a domain-specific, cross-modal embedding service as a programming interface (API). Scope, features, and limits follow from the current product and service description on our website and in our documentation.
3. Conclusion of contract and processing via Paddle
Our order process is handled by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders and handles payment processing, invoicing, the collection and remittance of applicable taxes, and customer inquiries relating to payments and refunds. You purchase the Service from Paddle; the license to use it is granted to you by us. Paddle's buyer terms additionally apply to the purchase, available at paddle.com/legal/checkout-buyer-terms.
Conclusion of the contract is subject to the proviso that no mandatory sanctions or anti-money-laundering rules of our payment service provider stand in the way.
4. Prices and payment
The prices displayed via Paddle at the time of the order apply. Payment is processed exclusively via Paddle.
5. Rights of use
We grant you a non-exclusive, non-transferable, non-sublicensable right to use the Service during the term of the contract to the agreed extent. All rights in the Service, the underlying software, the models, and the content remain with us or our licensors.
6. Your obligations
You undertake not to use the Service unlawfully, to keep credentials and API keys confidential, not to use the Service beyond the agreed usage limits, and not to take any measures that impair the stability or security of the Service, such as impermissible reverse engineering, automated overloading, or circumventing access restrictions.
7. Suspension and termination in case of suspected abuse
We are entitled to temporarily suspend your account or to restrict access to the Service in whole or in part where there are concrete indications that your account is being used in violation of these Terms or applicable law, or that the security of the Service is at risk. This includes in particular fraudulent payment activity (such as testing stolen card details), registration with disposable, forged, or third-party email addresses, automated or bulk account creation, obtaining free starting credit by deception, and attacks on the stability or security of the Service.
In choosing the measure we take your legitimate interests into account and inform you where this is possible and does not defeat the purpose of the measure. If the suspicion is confirmed, we may terminate the contract for cause without notice and delete the account; any credit granted free of charge is forfeited in that case. If the suspicion proves unfounded, we lift the suspension without undue delay. Further statutory rights and claims of both parties remain unaffected.
8. Availability and support
We strive for high availability but do not owe uninterrupted or error-free availability unless a separate agreement (such as a service level agreement) has been expressly made. We provide support through the channels stated on our website.
9. Warranty and liability
We are liable without limitation for intent and gross negligence as well as for injury to life, body, or health. In cases of simple negligence we are liable only for the breach of a material contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case our liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. Mandatory statutory provisions, in particular under the German Product Liability Act, remain unaffected.
10. Data protection
We process personal data in accordance with our privacy policy, available at https://flinq.ai/datenschutz.
11. Term, cancellation, and refunds
Term and renewal follow from the model chosen in the order process. Subscriptions can be cancelled via Paddle. Our withdrawal and refund policy applies to withdrawal and refunds, available at https://flinq.ai/widerruf.
12. Changes to these Terms
We may amend these Terms with effect for the future. We will give notice of material changes where practicable. Continued use after a change takes effect is deemed consent. Existing orders remain unaffected by changes unless mandatory law requires otherwise.
13. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state of your habitual residence remain unaffected. To the extent legally permissible, the place of jurisdiction is Stuttgart. Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected. These Terms are provided in English and German; in case of discrepancies, this English version prevails.
